根據《中華人民共和國合同法》及有關規定，為明確出租方與承租方的權利義務關系，經雙方協商一致，簽訂本合同。

第一條辦公室座落、間數、面積、面積計算

ARTICLE1:Location,Amount,AreaoftheRoomanditsCalculation

甲方向乙方提供甲方貨運站內樓No.房間，使用面積

平方米，作為其在貨運站的操作辦公用房。

PartyAshallprovidePartyBwithroom(s)ofNo.withtheutilityareaof

squaremetersasPartyB’soperationofficeinPACTL.

第二條辦公室配套設施及服務

ARTICLE2:AuxiliaryEquipmentandService

甲方將以辦公室的目前自然狀況交與乙方，并提供以下貨運站內辦公室配套設施的使用及服務：

1．公共照明

Illuminationpowersupply

2．自來水（飲用水除外）

4．公共衛生間

Publictoilets

5．公共區域清潔

Cleaninginpublicarea

乙方同意按其辦公室內獨立的電表讀數和上海市物價局規定的電費價格，支付每月的用電費用。

PartyBagreestopayelectricityfeemonthlyaccordingtotheelectricitypriceregulatedbyShanghaiPricingBureauandthereadingsofseparateammeterforitsoffice.

第三條租賃期限

ARTICLE3:LeaseTerm

1.租賃期共年零月，出租方從年月日起將出租辦公室交付承租方使用，至年月日收回。

LeaseTermis(years)(months).PartyAshallhandovertheroomstoPartyBonandtakethembackon.

2.任何一方終止合同或變更合同內容，均需提前60天書面通知對方,否則，本合同被視為自動延續。

Eachpartyhastofurnishtheotherpartyatleast60dayswithpriorwrittennoticeforterminationorchangeinthisAgreement,otherwisethisAgreementshallbedeemedtoextendautomatically.

第四條權利和義務

ARTICLE4:Rights&Duties

1．租賃期內，乙方應遵守《上海市民用機場地區管理條例》及有關貨運區的運行、安全等管理條例；

DuringthetermofthisContract,PartyBshouldcomplywiththebylaw<<ShanghaiRegionalAdministrationRegulationsofCivilAirport>>,theadministrativerulesandregulationsregardingtocargoterminaloperation&security.

2．乙方對其租賃辦公室區域內所有財產實施管理，并對其安全負責。甲方對該區域內屬于乙方的財產的損壞、滅失等不承擔責任，除非該損失是由于甲方的疏忽或故意行為造成的。

PartyBshouldholdtheresponsibilityformanagementandsecurityofallitspropertiesintheofficeleasedbyPartyB.PartyAshallnotbeliableforanylossofanddamagetothepropertiesthatbelongtoPartyB,unlesssuchlossordamagesarecausedduetonegligenceorwillfulmisconductofPartyA.

3．乙方有下列情形之一的，甲方可以終止合同、收回辦公室：

Ifanyofthesituationsmentionedbelowoccurs,PartyAhastherighttoterminatetheAgreementandtaketheofficeback.

（1）乙方擅自將所租賃辦公室轉租、轉讓或轉借的；

PartyBrents,orsellsorlendstheofficetothirdpartywithoutPartyA’spermission.

（2）乙方利用承租辦公室進行非法活動，損害公共利益的；

PartyBusestherentingofficeforillegalactivitiesandharmsthepublicbenefits.

（3）乙方拖欠租金累計達3個月的；

PartyBdelayspaymentfor3months.

（4）乙方有本合同第六條所涉及的甲方所不允許的行為的。

4．合同期滿后，如甲方仍繼續出租辦公室的，乙方享有優先權。如乙方無故逾期不搬遷，由此給甲方造成的一切損失由乙方承擔。

PartyBwillhaveprioritytoleaseifPartyAcontinuestorentouttheofficewhenthiscontractexpires.IfPartyBdelaystomoveoutattheendofleasetermwithoutaccepbrreasons,PartyBwillbearalllosscausedtoPartyA.

第五條租金、物業管理費、電費以及交納期限

ARTICLE5:Rent,Propertymanagementfee,ElectricityfeeandPayment

1.租金：每平方米220.00元/月，總計元/月。

TherentshallbeCNY220.00persquaremeterpermonthbasedonutilityareawiththetotalrentofCNY.

2.物業管理費：每平方米5.00元/月，總計元/月。甲方有權根據市場物價指數，每年上調該物業管理費不大于15%。

PropertymanagementfeeisCNY5.00persquaremeterpermonth,totallyCNY.PartyAhastherightbasedonthepricingindextoincreasewithcertainamount(notsurpass15%).

3.租金及物業管理費的交納期限：乙方同意租金按季度于每季度的第一個月的10日前提前交付于甲方指定帳戶內。

Paymentofrentandpropertymanagement:PartyBagreestotransactthepaymenttobankaccountappointedbyPartyAbefore10thofthefirstmonthforeachquarter.

4.電費的交納期限：甲乙雙方商定，除非另有約定，在每月的最后一天共同核定電表讀數，然后由甲方向乙方發出付款通知書，乙方在收到該通知后的7個工作日內將該月的電費交付于甲方指定帳戶內。

第六條辦公室的裝修及使用

1．乙方如對辦公室進行裝修時，不得擅自改變辦公室結構和原有風格，并在裝修前向甲方提交辦公室裝修方案（內容包括：設計圖、所使用的裝修材料、裝修中使用的設備等），在獲得甲方的書面同意后，裝修方可進行,但甲方不得無理拒絕簽發同意書。

PartyBshallnotchangethestructureandoriginalstyleoftheofficeduringdecorationwithoutPartyA’swrittenconsent.PartyBisrequiredpriordecorationtorendertoPartyAastatementdetailingtheofficedecorationscheme,includingdesigndrawing,decorationmaterials,listofequipmenttobeusedandsoon.OnlywithwrittenconsentfromPartyA,whichshallnotbeundulywithheld,canthedecorationbecarriedout.

2．乙方如對辦公室進行裝修時，不得擅自改變辦公室內的電源、通訊等線路和空調、噴淋等各種管路的原有走向，如確因使用電腦或其它辦公設備而需增加電源插座時，應在裝修方案中列明，獲允許后方可施工，施工完畢后由甲方查驗。如有損壞，除負責修復外，還應對造成的后果承擔全部責任。

PartyBshallnotchangethepowersupplyandcommunicationlines,pipelinesforair-conditionerandsprinklerwithoutpermissionofPartyAduringdecoration.However,ifsomeadditionalpoweroutletsforcomputersandotherofficeequipmentwillreallybeinstalled,theyshouldbelistedintheofficedecorationscheme,andonlywithPartyA’spermissioncanthedecorationbecarriedout,whichmustbecheckedbyPartyAafterthecompletionofthedecoration.Ifanydamageoccurstothosefacilities,PartyBshouldrepairthefacilitiesatitsowncostandberesponsibleforanyconsequenceofthesedamages.

3．鑒于辦公室和地坪承載負荷限制，乙方如對辦公室進行裝修時，不得使用花崗石、大理石等重質材料作為地面裝飾。

Consideringthebearingcapacityofthefloor,PartyBshallnotuseanyheavymaterials,suchasgraniteandmarble,todecoratethefloor.

4．為保持整個貨運站建筑和裝飾的統一性，乙方在進行辦公室裝修時，不得擅自變換辦公室原有的門、窗及其外部顏色。

InordertokeeptheunityofthearchitectureanddecorationofthewholeCargoTerminal,PartyBshallnotchangethedoors,windowsandtheirexteriorcolorwithoutpermissionfromPartyAduringdecoration.

5．鑒于甲方已為乙方提供了空調設備，乙方在進行辦公室裝修時或辦公室使用過程中，不得再安裝任何形式的空調設備或取暖裝置。乙方同意，在辦公室租用期間，不使用單體耗電量超過300瓦的電氣設備，每個接電插座用電容量不超過10安培，以確保貨運站的用電安全。

SincePartyAhasprovidedair-conditionequipmentstoPartyB,PartyBshallnotinstallanyotherair-conditionerorheatingdevicewhendecorationorindurationoftheofficeleased.ToensuretheelectricalsafetyoftheCargoTerminal,PartyBagreesnottouseelectricapplianceswithpowerconsumptionsurpassing300Winsingle,andcapacityofeachelectricityoutletisnolargerthan10A.

6．乙方同意不論何種原因致使乙方中止本合同，乙方在遷離貨運站時，不得對原屬于甲方所有的固定設備或裝置造成損壞，并負責將所租用辦公室恢復至租賃前原樣,但辦公室的正常損耗除外。

PartyBagreesthat,whenPartyBterminatestheAgreement,nomatterwhateverreasonwillbe,PartyBshallnotdamagethefixedfacilitiesorequipmentownedbyPartyAandbeliabletorestoretheofficeleasedtoitsoriginalshapeandstate,normalwearandtearaccepted,whenwithdrawingfromtheCargoTerminal.

第七條違約責任

ARTICLE7:ResponsibilityofAgreementViolation

1．甲方未按前述合同條款的規定和按時向乙方交付合乎要求的辦公室或有其他違約事項的，負責賠償違約金為租賃期全部租金的10%。

PartyAshallpay10%(tenpercent)oftheannualtotalrentascompensationtoPartyBintheeventPartyAfailstohandovertheleaseofficetoPartyBatduetimespecifiedinArticleshereoforhasotherperformancethatviolatestheAgreement.

2．承租方逾期交付租金或有其他違約事項的，應支付違約金為租賃期全部租金的10%。

PartyBshallpay10%(tenpercent)oftheannualtotalrentascompensationtoPartyAintheeventPartyBdelayspaymentofrentorhasotherperformancethatviolatestheAgreement.

第八條免責條件

ARTICLE8:Liability-FreeCondition

辦公室如因不可抗力的原因導致毀損和造成承租方損失的，雙方互不承擔責任。

PartyAandPartyBshallnotberesponsibleforeachothers’lossesarisingfromthedamagetotheofficeleasedand/orpropertyownedbyPartyBcausedbyforcemajeure.

第九條爭議的解決方式

ARTICLE9:SettlementofDispute

本合同在履行中如發生爭議，雙方應協商解決；協商不成時，任何一方均可依據中華人民共和國仲裁法向上海市仲裁委員會提請仲裁。仲裁結果將為最終結果，對雙方均有約束力。

AnydisputeoccurringinthetermofthisAgreementshouldbesettledthroughnegotiation.Ifitcannotbesettledafternegotiation,eitherpartycan,incompliancewiththeArbitrationLawofPRC,applyforarbitrationinShanghaiArbitrationCommittee.ThearbitrationawardshallbefinalandbindingonbothParties.

第十條本合同未盡事宜，一律按《中華人民共和國合同法》的有關規定，經合同雙方共同協商，作出補充規定，補充規定與本合同具有同等效力。

ARTICLE10:AnymattersnotstipulatedinthisAgreementshallbesettledintheAddendumaftermutualnegotiationbetweenPartyAandPartyBaspertherelevantregulationsinthe“ContractLawofPRC”.TheAddendumandtheAgreementshallbeequallyauthentic.

第十一條本合同正本采用中英文兩種文字混合，一式2份，出租方、承租方各執1份，兩種文字具有同等法律效力。兩種文字如有不符，以中文文本為準，經雙方簽字后正式生效。

ARTICLE11:ThisAgreementisexecutedin2(two)originals(mixtureofEnglishandChinese),1(one)foreachParty.Thetwolanguageshavethesamelegaleffects,andChineseversionwillprevailifanyconflictsexistingbetweentwolanguagecontents.ThisAgreementshallbecomeeffectiveonthedateofexecution.
